Terms of Service

1. Acceptance of Terms
By accessing, downloading, or using the VissoraX platform, website (vissorax.com), mobile applications (iOS and Android), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and VissoraX. If you do not agree to these Terms, you must not use the Service. We may update these Terms periodically, and continued use after such updates signifies your acceptance of the revised Terms.

2. Description of Service
VissoraX offers a platform that transforms raw financial data into decision-ready visual insights for small to mid-sized businesses, delivered through their trusted financial professionals (e.g., CPAs and accountants). The Service includes written and visual monthly financial summaries, structured Google Drive organization, slide decks for internal or board-level use, and collaborative, shareable tools (e.g., Google Docs, Sheets, Slides). The Service may evolve over time, and new features may be added or existing ones modified at VissoraX's discretion.

3. Eligibility and Account Registration

  • Age Requirement: You must be at least 18 years old to use the Service. By using it, you confirm you meet this requirement and have the legal capacity to enter into this agreement.
  • Account Creation: To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Accuracy: You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. User Conduct and Prohibited Activities
You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

  • Violating any applicable laws or regulations.
  • Uploading or sharing malicious code, viruses, or harmful content.
  • Attempting to reverse engineer, decompile, or hack the Service.
  • Impersonating another user or entity.
  • Using the Service to harass, defame, or harm others.
    VissoraX reserves the right to investigate and take action against violations, including account suspension or termination.

5. Payment and Billing

  • Pricing: Services are billed monthly based on the Pricing Strategy (e.g., $500 for 5-10 clients per CPA/accountant). Pricing may vary with tiered plans or additional features.
  • Billing Cycle: A 30-day billing cycle applies regardless of start date. Payments are due at the beginning of each cycle.
  • Payment Method: You must provide a valid payment method. Fees are non-refundable except as required by law.
  • Late Payments: Failure to pay may result in service suspension until payment is received.
  • Disputes: Contact legal@vissorax.com to dispute charges within 30 days of the billing date.

6. Intellectual Property
All content, software, designs, logos, and materials provided through the Service ("VissoraX Content") are the property of VissoraX or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service and VissoraX Content for your personal or business use as intended, subject to these Terms. You may not reproduce, distribute, or create derivative works from VissoraX Content without explicit written permission.

7. Third-Party Services and Links
The Service may integrate with third-party tools (e.g., Google Workspace, QuickBooks, Zapier) or contain links to external sites. VissoraX is not responsible for the content, privacy practices, or availability of these third-party services. Your use of them is governed by their respective terms and policies.

8. Termination and Suspension

  • By You: You may terminate your account at any time by contacting legal@vissorax.com, subject to any outstanding payment obligations.
  • By VissoraX: We may suspend or terminate your access to the Service, with or without notice, for breach of these Terms, non-payment, or at our discretion. Upon termination, your right to use the Service ceases, and any data may be deleted after a 30-day grace period.
  • Effect of Termination: Termination does not relieve you of obligations incurred prior to termination.

9. Limitation of Liability
To the maximum extent permitted by law, VissoraX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid to VissoraX in the 12 months preceding the claim.

10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. VissoraX does not guarantee uninterrupted or error-free operation of the Service.

11. Indemnification
You agree to indemnify and hold VissoraX harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of [Insert Jurisdiction, e.g., California, USA]. Any disputes will be resolved through binding arbitration under the rules of [Insert Arbitration Body, e.g., American Arbitration Association], except where prohibited by law. You agree to waive any right to a jury trial.

14. Miscellaneous

  • Entire Agreement: These Terms, along with any additional policies, constitute the entire agreement between you and VissoraX.
  • Severability: If any provision is found invalid, the remaining provisions remain enforceable.
  • No Waiver: Failure to enforce any right does not constitute a waiver.
  • Assignment: VissoraX may assign these Terms without your consent; you may not.
