Draft terms governing organizational use of VissoraX services.
TERMS OF SERVICE - ORGANIZATIONS
DRAFT - LEGAL REVIEW REQUIRED
These Terms of Service for Organizations ("Organization Terms") govern use of VissoraX by a company, nonprofit, partnership, public body, or other entity ("Organization"). They supplement the General Terms & Conditions, Privacy Policy, Refund Policy, End User License Agreement, and any signed order form or enterprise agreement. A signed agreement controls where it expressly conflicts with these Organization Terms.
1) AUTHORITY AND ORGANIZATION ACCOUNT
The person accepting these Organization Terms represents that they have authority to bind the Organization. The Organization is responsible for its administrators, users, invited collaborators, account configuration, and all activity conducted through its account.
2) ADMINISTRATORS AND USERS
Administrators may provision users, assign roles, connect sources, and control access. The Organization must maintain current user lists, promptly remove access that is no longer appropriate, and apply least-privilege permissions. Each user must comply with the applicable VissoraX terms.
3) ORGANIZATION DATA
The Organization retains its rights in data it submits or authorizes VissoraX to retrieve. The Organization grants VissoraX the limited rights needed to host, process, transmit, secure, and display that data to provide the Services and meet legal obligations. The Organization represents that it has all permissions required for the data and processing it authorizes.
4) INTEGRATIONS AND CONNECTED SOURCES
The Organization may connect accounting, banking, payment, payroll, commerce, and operational systems it is authorized to use. Third-party provider terms and availability remain separate. The Organization is responsible for its provider accounts, connection approvals, and instructions to VissoraX.
5) INTELLIGENCE AND ANSWERS
VissoraX may reconcile, analyze, forecast, detect anomalies, and communicate sourced answers from the Organization's permitted financial picture. Outputs require appropriate human review and do not replace legal, tax, accounting, investment, or other licensed professional advice.
6) CORE AND ECOSYSTEM PERMISSIONS
VissoraX Core presents answers to the Organization first. The Organization controls whether an accountant, auditor, lender, regulator, investor, broker, or other permitted party receives an answer through an Ecosystem platform. The Organization is responsible for the scope, authority, and accuracy of each permission it grants.
7) SECURITY RESPONSIBILITIES
The Organization must protect credentials, configure roles appropriately, maintain secure devices and networks, and promptly report suspected incidents to security@vissorax.com. VissoraX may take reasonable action to contain a threat, including temporarily limiting access while an incident is investigated.
8) ACCEPTABLE USE
The Organization and its users may not bypass controls, attempt unauthorized access, introduce malicious code, scrape or resell the Services, reverse engineer protected systems, use the Services to violate law or third-party rights, or permit an unauthorized party to access Organization data.
9) FEES, USAGE, AND TAXES
Fees, VissoraX Points, usage limits, payment timing, and commercial commitments are governed by the applicable order, Pricing page, and General Terms & Conditions. The Organization is responsible for applicable taxes and for charges approved by its administrators.
10) SUPPORT AND SERVICE OPERATIONS
Support level, service commitments, onboarding, and response targets are those stated in the applicable plan or signed agreement. Maintenance, provider outages, security events, and circumstances outside reasonable control may affect availability.
11) CONFIDENTIALITY
Each party must protect nonpublic information received from the other with reasonable care and use it only for the authorized relationship. Confidentiality obligations do not apply to information that is public through no breach, independently developed, lawfully received without restriction, or required to be disclosed by law after appropriate notice where permitted.
12) PRIVACY AND COMPLIANCE
Each party is responsible for the laws that apply to its activities. The Privacy Policy explains VissoraX's website and service data practices. Where required, the parties may enter a separate data-processing, security, or regulated-services agreement.
13) TERM, SUSPENSION, AND TERMINATION
The applicable order or plan defines the subscription term. VissoraX may suspend access for nonpayment, material breach, security risk, or legal necessity. On termination, data access, export, deletion, and required retention follow the applicable agreement and Privacy Policy.
14) WARRANTIES, LIABILITY, AND DISPUTES
The warranties, disclaimers, indemnities, liability limitations, dispute process, governing law, and other general provisions in the General Terms & Conditions apply unless a signed agreement states otherwise. Mandatory legal rights and liabilities that cannot be waived remain unaffected.
15) CHANGES TO THESE TERMS
VissoraX may update these Organization Terms. Material changes will be communicated as required, and changes to a signed enterprise commitment apply only as permitted by that agreement.
